60-MINUTE YOGA & WELLNESS WORK 1:1 SESSION


Thank you for purchasing a 60-Minute Yoga & Wellness Work 1:1 Session(s) (“Service”). All sales are final for this Service. By completing the Service check-out, you ("Customer/Client") agree to the following terms and understand that you will be charged the full amount of the pay-in-full price, whatever Customer selects upon checkout. Through rendering initial payment, Customer agrees to the following terms and conditions of this Agreement (“Agreement”) in their entirety:


1. INTRODUCTION


Dana Shaker (“Coach”), founder and owner of Journey and Practice LLC, (“Company”) is a company that provides people with yoga, meditation, and general wellness tools and coaching services to help them empower themselves to become more knowledgeable and intentional about their choices and better support their overall wellbeing. Company offers one-on-one (1:1) 60-minute yoga and wellness work sessions (“Service”) to provide yoga knowledge and practices to empower others to support their own overall wellbeing. The Service is one or more 1:1 private yoga and wellness work sessions, depending on how many 1:1 sessions Customer chooses at checkout and provided to the Customer, as Coach and Customer are available at a mutually-agreed-upon time. Once all one-on-one sessions have been rendered, the Service is deemed completed. Coach and Company in their sole discretion determine whether a video recording of the class will be made and shared with Client.



2. TERM

This Term of this Agreement shall be from the date of initial purchase until the date of completion of the Service, with the exception of Section 10, which shall survive the Term of this Agreement. If applicable, any non-live content, including but not limited to replay video content, shall be made available to Client from the date of initial purchase until Company decides it is reasonable to substitute products or services comparable or equal to the value of the Product or terminate access to the Product under the current circumstances as determined by Company, with the exception of Section 10, which shall survive the Term of this Agreement.




3. DISCLAIMERS


For the purposes of this Agreement, the Coach is not a doctor, nurse, registered dietician, physical therapist, occupational therapist, psychiatrist, psychologist, therapist, counselor, state licensed mental healthcare provider, other licensed medical or mental healthcare professional, master of science in nutrition, nutritionist, certified personal trainer, hypnotherapist, employee, manager, or other agent of Client and/or Client’s business. Client understands that coaching is working one-on-one with the Coach to help Client think through and analyze decisions and assist Client with finding her own direction. The Coach may offer her opinion regarding health and/or personal decisions, but it is the responsibility of Client to make the final decision and choose the best option for herself. 

Although the Coach may offer Client tools to help improve all aspects of Client’s life, the coaching services in this Service are specific and limited in nature, pursuant to Section 4 of this Agreement. The Coach is a Yoga and Meditation Teacher, and Wellness and Mindset Coach, who offers Coaching Services in the form of Yoga and Meditation Teachings and Wellness and Mindset Coaching (herein collectively referred to as “Coaching Services”). Yoga and Meditation Teaching is tailored yoga and meditation classes, teachings (including but not limited to philosophical and energetic principles and systems like the Eight Limbs of Yoga and the Chakra System), tools, skills, and practices to help Client learn how to become more knowledgeable and intentional about her choices and better support her overall wellbeing. Yoga and Meditation Coaching may contain breathwork (“Breathwork”) techniques. Breathwork is defined by Merriam-Webster dictionary as “conscious, controlled breathing done especially for relaxation, meditation, or therapeutic purposes.” Wellness and Mindset Coaching is assisting Client to learn more about how to incorporate wellness practices into her daily life and assisting Client in identifying and working through limiting beliefs so that she can become more knowledgeable and intentional about her choices and better support her overall wellbeing.

Coaching Services do not include: 1) professional advice regarding eating disorders; 2) performing any physical and/or occupational therapy services for Client; 3) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 4) in-person personal training services; 5) medical advice, medical treatment, psychiatric expertise, or mental health counseling; 6) advice regarding injuries, health conditions, and/or other defects (though modifications to certain yoga poses in the context of a yoga class may be offered to assist the Client so that she may fully and safely participate in said yoga class); 7) traditional Bar Exam Preparation Services or any exam services, such as essay or multiple choice review, analysis, and feedback; 8) legal or financial advice; 9) introduction to Coach’s professional network and business relationships. 

Client agrees that Coach is not responsible for any physical injuries, diseases, illnesses, or other health conditions that might arise during or after the Service. Client agrees to hold Coach harmless of any liability regarding any diagnosis of any such injury or health condition that arises during or after the Service. If Client is aware of a pre-existing injury, disease, or health condition, Client hereby acknowledges that she has consulted a doctor. By signing this Agreement by clicking the appropriate check box on Company’s payment processor, ThriveCart, Client hereby acknowledges that she has been cleared by a doctor to continue with the Coach and Coaching Services. 

Although Coach is trained to perform the above Breathwork Services, Coach is not a licensed therapist, medical professional or other mental health care provider; in order to get medical advice, Client must see a doctor. Coach does not represent the Breathwork Services as any form of health care or psychotherapy, and despite research to the contrary, by law Coach may make no health benefit claims for said Breathwork Services. However, these holistic practices are client-centered disciplines, in which Coach is highly trained to assist Client to accomplish their goals, whatever they may be, using the Breathwork Services described above. Nevertheless, the Breathwork Services may not be regulated by any government or administrative body. Coach also does not provide any type of therapy services, despite the word “therapeutic” being included in the common definition of breathwork; the type of Breathwork Services utilized by Coach are non-therapeutic in nature and are designed to supplement treatment and/or advice from licensed medical and mental health providers. Nothing in the Breathwork Services shall be construed as a substitute for the treatment or advice of a doctor or other licensed medical professional.

Coach does not represent the Breathwork Services as any form of health care or psychotherapy, and despite research to the contrary, by law Coach may make no health benefit claims for said Breathwork Services. Client hereby acknowledges that breathwork is not a substitute for medical care, as breathwork neither diagnoses nor treats any medical conditions. Instead, breathwork provides tools for you to complement your medical or other treatments. If any medical symptoms persist or progress, even acutely, you hereby agree to inform your medical provider immediately and seek medical attention. You also hereby agree to notify Coach with any updates to your medical condition after beginning Services and to indemnify Coach of any health issues that may persist or progress whilst working with Coach. Client hereby assumes and accepts all risks associated with the Breathwork Services described herein.

Client hereby acknowledges that Client is solely responsible for the amount and type of progress that Client achieves by implementing techniques and advice provided by Coach. Client also acknowledges that Coach cannot and does not guarantee that implementation of the Coaching Services will provide Client with a physical or health transformation. Client also agrees that she is solely responsible for any decision regarding her personal health and/or any personal and/or professional decisions and indemnifies Coach from any liability regarding said decision. If, at any point during the Services, Client feels any adverse effects from any of the Services and/or techniques defined above, Client hereby agree to immediately disclose said effects to Coach and Client’s medical service provider.

To the extent that it is relevant, Client hereby acknowledges that Client is solely responsible for the amount and type of income that Client generates by implementing techniques and advice provided by Coach. Client also acknowledges that Coach cannot and does not guarantee that implementation of the Coaching Services will provide Client with an ideal resolution or a perfect life. Client also agrees that she is solely responsible for any decision to leave her other career, job, or profession in order to pursue Client’s business idea and indemnifies Coach from any liability regarding said decision. Similarly, Client also agrees that she is solely responsible for any decision to leave her relationship, living environment, marriage, or other making any other personal or professional decision and indemnifies Coach from any liability regarding said decision.

Client hereby acknowledges that Client is solely responsible for her own performance on any and all Bar Exams and/or other examinations she chooses to take and the results of those Bar Exams or examinations, now and in the future. Client also acknowledges that Coach cannot and does not guarantee that implementation of the Coaching Services will provide Client with a passing Bar Exam score in any exam jurisdiction or any passing exam score on any test.



4. SERVICE SPECIFICS


The Service includes one or more sixty (60)-minute, one-on-one 1:1 Yoga and Wellness Work Sessions with Customer, depending on how many customer selects at checkout. Customer must either choose an appropriate time to meet with Company from a link provided or, if a link to a calendar is not provided, correspond with Company about a mutually-convenient time to schedule one or multiple sessions.

The one (1), sixty (60) minute yoga, meditation, and wellness private session(s), included for the purposes of this Agreement, may includes:

• Teaching yoga classes tailored to the Client’s specific needs and goals;
• Teaching specific yoga and meditation techniques, including breathwork, tailored to the client’s specific needs and goals;
• Teaching general wellness practices tailored to the client’s specific needs and goals;
• Questioning and listening techniques;
• Identifying and assisting the Client with limiting beliefs;
• Providing accountability, guidance, challenge, support, and encouragement
• A video recording of the live Zoom call, as described above, determined at the sole discretion of Coach and Company

The Coach will respond to Client inquiries within 48-72 hours after Client sends a message. Coach cannot guarantee she will respond individually to Client through social media direct messaging – in order to maximize efficiency and organization, all communications directly between Client and Coach will take place via e-mail.


5. CLIENT’S RESPONSIBILITIES


Coach’s Service has been developed for educational purposes only. Coach has established her proprietary Service in order to educate and inspire Client to pursue her personal goals. However, Client hereby acknowledges that Coach does not guarantee Client’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Service. Client accepts and agrees that Client is 100% responsible for her results from the Service. Client acknowledges that, as with any endeavor and investment, there is an inherent risk associated. As such, Client agrees there is no guarantee that Client will attain her goals by simply completing the Service.

Nevertheless, Client acknowledges that she can optimize her potential results from the Service by adhering to the following:


• Completion of and meaningful engagement with the entire Service, including the practices and tools provided therein;

• Thoughtful and meaningful participation in all one (1) hour coaching sessions with Coach;

• Utilization of Coach’s feedback;

• Completion of any assigned work, journaling, material, and research between each coaching session and throughout the Service, if applicable;

• Committing to the Service

• Attending each coaching session at the scheduled date, on time;

• Immediately rescheduling any coaching sessions if necessary and adhering to the rescheduled time and date;
• Watching a video recording of the class after the session, if a video recording is provided;

• Taking 100% responsibility for Client’s results, 100% of the time.



6. RESCHEDULING POLICY


A big component of success is discipline and commitment. In order to achieve optimal results under this Service, Client should commit to the schedule as follows: showing up on time to any and all scheduled one-on-one (1:1) yoga and wellness work sessions. Each one (1) hour yoga, meditation, and wellness private session will take place at a designated time at a certain day each week. Client must request and schedule each sixty (60) minute yoga, meditation, and wellness private session at least seven (7) days in advance of the session.

Coach understands that sometimes, “life happens.” In order to accommodate situations that unexpectedly arise, Coach agrees to allow the one (1), sixty (60) minute private yoga session to be rescheduled. However, all requests to reschedule a session must be made no later than 24 hours before the scheduled session. All requests to reschedule must include a date and time within a week at which the rescheduled session can take place based on Client’s knowledge of Coach’s general, communicated availability, which Client must schedule by sending Coach an e-mail. Failure to do so shall result in Client forfeiting that sixty (60) minute yoga, meditation, and wellness private session with no money back. Any “no-shows” will also result in forfeiture of that sixty (60) minute yoga, meditation, and wellness private session with no money back. Coach reserves the right to reschedule a sixty (60) minute yoga, meditation, and wellness private session at her discretion, such as seven (7) days after responding to Client’s request to reschedule.

All rescheduled private sessions must be made within thirty (30) days of purchase. If the private yoga session is rescheduled thirty (30) days after initial purchase, Client must reschedule the session within the next thirty (30) days, or else Client forfeits that yoga, meditation, and wellness private session and all payments due under this Agreement.


7. PAYMENT & FEES

Customer must make payment for the purchase of Product as follows: a one-time fee, due in-full before Customer may access the Service. Client hereby agrees to pay in accordance with the following plan:



A. ONE-TIME FEE:


• One (1) payment of one-hundred dollars and zero cents ($100.00) USD via Coach’s or an approved Affiliate’s ThriveCart link by either Credit Card or PayPal, which is due immediately upon signing and execution of this Agreement. The Service shall not be scheduled or rendered until and unless full payment is rendered. Discount code(s) may be applied to this price based on certain criteria solely determined by Coach and Company.


8. REFUND POLICY


All sales are final for this Service. There are no refunds and Client remains responsible for all payment due under this Agreement.


9. TERMINATION

Coach is committed to providing quality service to all Clients. However, from time to time, situations arise that require the Coach to terminate the Agreement before the Term ends. As such, Coach reserves the right to terminate the Agreement “for cause” at any time during the Agreement, which includes, but is not limited to, the following causes: 1) Client fails to follow Service guidelines; 2) Client is abusive or harasses Coach; 3) Client refuses to pay or does not pay within the schedule outlined in Section 8 above; 4) Client proves to be difficult to work with and/or does not attend the scheduled coaching sessions; 5) for any other legitimate business purposes in the best interest of Coach. If any of the following causes trigger Coach to terminate the Agreement, Client is still liable to pay the entire cost of the Agreement.


10. CONFIDENTIALITY, INTELLECTUAL PROPERTY, LIMITED LICENSE


Confidential Information - 

Journey and Practice LLC (“Company”) takes pride in its proprietary information included in each Service. As such, Client agrees and acknowledges all Confidential Information shared through this Service and by the Coach is confidential, proprietary, and belongs exclusively to Journey and Practice LLC.

Confidential Information includes, but is not limited to: 


• Any systems, sequences, processes or steps shared with Client;

• Any information disclosed in association with this Agreement;

• Any trade secrets in connection with the Service or Journey and Practice LLC’s, business practices.

Client agrees not to disclose any of Journey and Practice LLC’s Confidential Information.

Journey and Practice LLC also takes seriously its responsibility to protect Client’s personal information and privacy. As such, consider this a mutual non-disclosure agreement. Journey and Practice LLC agrees not to disclose any of Client’s personal information.

However, from time to time, Journey and Practice LLC may use general statements about Client’s success as social proof and part of its marketing strategy. By signing this Agreement, Client agrees to Coach sharing Client’s success stories on social media. Coach may also ask Client to provide testimonials about the Coach, the Coach’s business Journey and Practice LLC, and the Service, via video, audio or written testimonials. Both parties will keep Confidential Information in the strictest confidence and shall implement the best effort to protect Confidential Information from disclosure, misuses, misappropriation, loss, and theft. Coach will not disclose any of Client’s personal information to third-parties without prior written consent. 

Intellectual Property - 

Journey and Practice LLC and its Services may use free stock photography as part of its design. All stock images used have an irrevocable, non-exclusive copyright license to download, copy, distribute, use and modify the photos for free, including for commercial purposes. Use of said stock photography is permissible under applicable laws without permission from the photographer or attributing the work to the photographer. 

This website, content and products contain intellectual property owned by Journey and Practice LLC, and by third-parties that license some intellectual property to us. This Agreement is intellectual property owned by Journey and Practice LLC. Other examples of intellectual property found on our website and within our products and Services include, but are not limited to: trademarks, service marks, layout, logos, business name, design, text, written copy, certain images, podcast recordings, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). You shall not copy, publish, transmit, transfer, sell, create derivative works from, reproduce, or in any way exploit any of the Intellectual Property owned by Journey and Practice LLC, and the third-parties described within this Section in either whole or part without prior written consent. 

Limited License - 

Journey and Practice LLC grants only a limited license to Client to use the Intellectual Property. You acknowledge that any and all products or Services that you download are for your own personal and internal business use. You shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Service without prior written consent or unless provided otherwise. Journey and Practice LLC grants you a limited, personal, non-exclusive and non-transferable license to use the Service for your personal and internal business use. 

Client holds limited license during the Term of this Agreement to use Coach’s proprietary service. If the Client is also a business owner in a similar industry, Client must not misappropriate any of Coach’s intellectual property and proprietary information in the following manner:


• Teaching Client’s personal clients any of the information, methods, solutions, or formulae owned by Coach and passing it off as her own;

• Copying any of Coach’s course material for Client’s personal use;

• Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Coach in either whole or part without prior written consent.
 


11. INDEMNIFICATION / LIMITATION OF LIABILITY

Coach provides career guidance as part of her Service. Client hereby acknowledges that neither Coach nor Journey and Practice LLC is liable for any injuries that may arise from Client’s personal or professional decisions based off of her participation in this service, including but not limited to: a decision to leave a job, leave a relationship, change their living environment, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless both Coach and Journey and Practice LLC of any claims that may arise after participation in the Service. 



12. MISCELLANEOUS


A. Amendments - Coach reserves the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.

B. Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.

C. Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.

D. All Rights Reserved - All rights not expressly granted in this Agreement are reserved by Coach. 

E. Governing Law - Journey and Practice LLC is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of the State of California.

F. Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 

G. Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms “I agree to the Terms & Conditions” at the Service checkout page and by rendering first payment.
